POSITION SUMMARY: The Senior Counsel, Corporate Development will support the transactional and development activities for the enterprise. He/she will work directly with active Corporate Development team seeking to provide strategic and opportunistic value while optimizing the Companyï¿½s portfolio of assets.
Serve as lead internal counsel on wide range of transactions from inception to closing, including acquisitions, divestitures, joint ventures and other strategic relationships.
Provide legal advice and counsel to management and company personnel related to a wide variety of corporate and business issues.
Draft, review and negotiate contracts in connection with transactions.
Resolve issues arising in existing contractual, JV and partnership relationships, handling pre-litigation legal disputes and inquiries.
Oversee and assist with due diligence on proposed transactions.
Collaborate with other members of the legal department regarding tax, employment, real estate, healthcare and regulatory issues in connection with proposed transactions.
Work directly with business counterparts and develop strategies for handling complex legal issues.
CANDIDATE EXPERIENCE, ATTRIBUTES AND EDUCATION REQUIREMENTS: Candidates must possess a minimum of three yearsï¿½ experience as a transactional attorney, preferably at a nationally recognized law firm, in-house counsel or combination of both. Licensed to practice law in one or more of the states where the company conducts business. Strong interpersonal skills and ability to take on multiple responsibilities while prioritizing competing projects is an essential characteristic.
Healthcare industry experience a plus but not mandatory.
Sound judgment and communications skills, including the ability to communicate complicated issues directly with business teams.
A demonstrated ability to handle complex transactional and structuring issues. Ability to work independently, as well as function effectively, within a team framework.
Strong research, analytical, organizational, and computer skills are necessary.
Must be extremely responsive to a high volume of diverse requests.
Strong customer service orientation, meticulous attention to detail and initiative are essential for success in this role.
Excellent project management skills, ability to execute on plan, deliver results and manage external legal costs.

He/she should also have the ability to effectively interact with individuals at all levels of the organization, including top executives and outside counsel. This position will involve handling confidential matters requiring the exercise of good judgment and discretion.
Education/Certifications Juris Doctor Degree from an ABA Accredited Law School is required and fully qualified to practice in the State of Texas.
